4. Website Access and Acceptable Use

You may use our website for lawful purposes, including exploring services, reviewing our portfolio, submitting enquiries, requesting quotations, and communicating with our team.

You must not:

  1. Use the website for unlawful, fraudulent, deceptive, or malicious purposes.

  2. Attempt unauthorised access to our systems, accounts, servers, or databases.

  3. Upload malicious software or interfere with website security.

  4. Submit false information or impersonate another person.

  5. Access or disclose confidential information without authorisation.

  6. Copy, distribute, or commercially exploit protected content without permission.

  7. Use our forms or systems to distribute spam or unlawful content.

  8. Circumvent access controls or interfere with other users.

We may restrict access where reasonably necessary to protect the website, our users, our business, or our systems, subject to applicable law.

5. Customer and Prospective Customer Registration

Customers and prospective customers may register for an account to explore our services, create or discuss projects, submit requirements, review available project information, communicate with our team, or access other authorised features.

By registering, you agree to provide accurate information, maintain updated contact details, and protect your login credentials.

Creating an account does not, by itself, establish a client contract, confirm a project booking, accept a proposal, or create an obligation to purchase services.

A project engagement becomes binding in accordance with the applicable proposal, quotation, agreement, acceptance process, and law.

6. Employee, Staff, and Invited User Accounts

We may allow authorised administrators, customers, workspace owners, or other authorised persons to invite employees, contractors, consultants, and collaborators to join a project management workspace.

Invited users must:

  • Register with accurate information.

  • Use the platform only for authorised purposes.

  • Access only information and functions permitted by their assigned roles.

  • Protect account credentials and confidential information.

  • Comply with applicable security policies and lawful instructions.

  • Report suspected unauthorised access or security incidents promptly.

An invitation does not independently establish or change an employment relationship, compensation arrangement, or contractor agreement.

Workspace administrators may assign roles and manage permissions according to their authority and applicable contractual obligations.

7. Worksapar and Project Management System

Our project management system, including Worksapar and related customer or employee portals, may provide functionality for:

  • Customer and staff registration.

  • Project creation and project descriptions.

  • Task allocation, milestones, schedules, and progress tracking.

  • Proposals, estimates, quotations, and statements of work.

  • Project approvals and electronic acceptance.

  • Invoices, payment records, and payment status.

  • Expense submissions, estimates, approvals, and supporting documents.

  • File uploads, project communications, and document management.

  • Employee assignments, work records, and internal collaboration.

  • Notifications, reports, and other administrative features.

Available functions may vary by account type, subscription, workspace configuration, and permissions.

Users must use these features only within the scope of their authorisation. System records may be used as evidence of submissions, approvals, changes, and other activities, subject to applicable law and the reliability of the relevant records.

8. Project Creation and Scope

Customers may submit project titles, descriptions, requirements, deliverables, budgets, target dates, attachments, and other relevant information through our website, forms, or project management system.

Submitting project information does not automatically mean that the Company has accepted the project or committed to a delivery date or price.

Before work begins, the parties should establish the relevant scope, deliverables, commercial terms, responsibilities, dependencies, and acceptance criteria.

Any material change to the approved scope may require a revised quotation, proposal, timeline, or written change approval.

9. Proposals, Estimates, and Quotations

We may issue proposals, estimates, quotations, or statements of work containing information such as:

  • Project title and description.

  • Scope of work and deliverables.

  • Fees and applicable taxes.

  • Estimated timelines and milestones.

  • Payment schedules.

  • Third-party expenses and subscriptions.

  • Revision limits, exclusions, and assumptions.

  • Maintenance, support, and warranty arrangements.

  • Validity periods and acceptance requirements.

Unless expressly stated otherwise, an estimate is indicative and may change when requirements or assumptions change.

A quotation or proposal remains subject to its stated validity period and terms. Work may be scheduled only after the required acceptance, payment, access, information, and other prerequisites are satisfied.

Where a proposal contains specific commercial terms, those terms will govern the relevant engagement once validly accepted.

10. Proposal Acceptance and Electronic Approval

Where our project management system permits customers to accept a proposal electronically, the authorised customer representative may confirm acceptance through a designated button, checkbox, electronic signature, or other documented acceptance mechanism.

By accepting a proposal, the user confirms that they:

  1. Have reviewed the proposal and its stated scope.

  2. Understand the applicable price, taxes, and payment terms.

  3. Have reviewed the relevant deliverables, exclusions, and assumptions.

  4. Are authorised to accept the proposal on behalf of the customer, where applicable.

  5. Intend to proceed in accordance with the accepted commercial terms.

An acceptance record may include the proposal identifier, version, user account, date and time, and other appropriate audit information.

An acceptance will not be treated as valid merely because a person viewed a proposal, opened an email, or logged into the system. The relevant action must satisfy the applicable acceptance process and law.

If a proposal is revised after acceptance, the revision will not automatically change the previously accepted agreement. Where required, the revised proposal must be presented for renewed acceptance.

11. Customer Approval Authority

Customers are responsible for ensuring that persons who approve proposals, quotations, expenses, invoices, change requests, or other commercial matters have the necessary authority.

A customer should promptly notify us if an authorised representative’s authority is withdrawn or changed.

We may reasonably rely on recorded approvals made through designated customer accounts unless we know, or should reasonably know, that the approval is unauthorised or invalid.

The consequences of an approval will depend on the relevant document, the user’s authority, the applicable agreement, and applicable law.

12. Invoices and Invoice Acknowledgement

Invoices may be issued through email, the project management system, or another agreed communication channel.

An invoice may include the invoice number, issue date, due date, description of services, applicable taxes, total amount payable, payment instructions, and related project information.

Where the system provides an invoice acknowledgement or acceptance function, that action may record that the invoice was received, viewed, or acknowledged.

Acknowledging an invoice is not automatically the same as paying it, approving additional work, or accepting every disputed charge. The effect of an invoice acknowledgement will depend on the wording of the action, the underlying agreement, and applicable law.

Customers should raise invoice discrepancies promptly and provide sufficient information for review. Raising a dispute does not automatically suspend payment obligations for undisputed amounts unless agreed or required by law.

Payment remains due according to the applicable invoice and agreed payment terms.

13. Payments and Taxes

Customers must pay fees according to the applicable accepted proposal, invoice, or service agreement.

Unless otherwise stated in writing:

  • Applicable GST and other legally required taxes may be charged.

  • Payment milestones and due dates will be specified in the relevant commercial document.

  • Bank charges, payment gateway fees, or currency conversion costs may apply where disclosed and permitted.

  • Third-party licences, hosting, domains, subscriptions, advertising budgets, and API usage may be charged separately.

  • Additional work outside the agreed scope may require separate approval and payment.

  • Receipts and payment confirmations may be provided after payment is verified.

Payment status displayed in a project management system may depend on recorded information or payment provider notifications. Users should contact us if a payment is not correctly reflected.

Late payment, suspension of work, interest, or recovery of costs will be governed by the applicable agreement and mandatory law.

14. Expenses and Expense Approval

Projects may involve expenses such as hosting, domains, plugins, software licences, third-party services, advertising expenditure, travel, integrations, or other project-related costs.

Where the system supports expense management, authorised users may submit expense descriptions, amounts, dates, receipts, supporting documents, and other relevant information.

Expenses requiring customer approval must be submitted for approval before commitment, unless the applicable agreement expressly provides otherwise or another authorised arrangement applies.

An expense approval should identify the relevant expense, amount or spending limit, and any conditions necessary to understand the approval.

Approval of an expense does not automatically approve unrelated expenses, additional project scope, or an unlimited budget.

The parties should establish whether an approved expense is payable directly to a third-party provider or reimbursable to the Company, together with any applicable taxes and documentation requirements.

The Company will not treat a merely submitted or pending expense as approved solely because it appears in the project management system.

15. Change Requests and Additional Work

Customers may request changes to project scope, functionality, design, integrations, deliverables, timelines, or other requirements.

We may assess the effect of a requested change on fees, timelines, resources, and technical feasibility.

Where a change affects the agreed commercial terms, we may issue a revised proposal, change order, or additional quotation for approval.

Additional work will proceed according to the agreed change approval process. Silence or failure to respond will not automatically constitute acceptance of additional charges unless a valid agreement and applicable law provide otherwise.

16. Deliverables, Testing, and Handover

Project deliverables will be determined by the accepted proposal or applicable agreement.

Where agreed, the parties may conduct testing, review milestones, report defects, and confirm acceptance through the project management system or another documented method.

The applicable agreement may specify review periods, acceptance criteria, defect correction, handover materials, source code delivery, and documentation.

A customer should identify material discrepancies within the agreed review period. Acceptance and deemed-acceptance provisions, if any, will apply only where expressly agreed and legally enforceable.

Maintenance, support, warranties, and post-launch services are included only to the extent specified in the applicable agreement.

17. Refunds, Cancellations, and Termination of Projects

Project cancellations, refunds, deposits, milestone payments, and termination rights will be governed by the applicable accepted proposal, service agreement, and mandatory law.

A customer who wishes to cancel a project should notify us in writing.

The parties may need to reconcile work already performed, approved expenses, committed third-party costs, delivered materials, and outstanding payments.

No provision of these Terms removes a mandatory refund, cancellation, consumer, or other legal right that applies to the relevant transaction.

18. Customer Content and Intellectual Property

Customers retain the rights they hold in materials they provide to us.

Customers grant the Company the permissions reasonably necessary to access, use, reproduce, modify, and process such materials for the purpose of delivering the agreed services.

Customers are responsible for ensuring that they have the necessary rights and authority to provide the content, data, trademarks, images, software, and other materials used in a project.

Ownership and licensing of software, source code, designs, documentation, and other deliverables created by the Company will be governed by the accepted proposal or applicable agreement.

Unless otherwise agreed in writing, the Company’s pre-existing tools, methods, templates, know-how, and reusable components remain subject to the Company’s existing rights.

Third-party and open-source components remain subject to their respective licences.

19. Employee Records and Confidential Information

The project management system may contain employee information, customer records, assignments, project documents, commercial details, internal communications, and other confidential information.

Users may access and use such information only for authorised business purposes.

Employee and customer data must not be disclosed, exported, copied, or shared with unauthorised persons.

Where a customer controls employee or customer records within its workspace, the parties’ respective responsibilities will be determined by the applicable agreement and privacy documentation.

Employment-related information will be processed in accordance with applicable privacy and employment laws. Access should be restricted to persons with an appropriate business need.

20. Security, User Roles, and Audit Records

Users must protect their login credentials and must not share accounts or attempt to bypass permissions.

The Company or authorised workspace administrators may manage access rights, invitations, roles, and workspace security.

The system may maintain records of account activity, document changes, approvals, timestamps, and other relevant events for security, administration, auditability, and dispute resolution, subject to applicable law and appropriate privacy disclosures.

No user should assume that an action performed by an unauthorised person will automatically bind another party. Suspected account compromise or unauthorised approvals must be reported promptly.

21. Privacy and Personal Data

Our Privacy Policy describes how personal information is collected, used, stored, disclosed, and retained.

Depending on your interaction with us, information may include names, contact details, company details, project requirements, employee records, account information, communication history, payment records, and system activity.

We may process information to provide services, manage accounts, handle projects, maintain security, process transactions, respond to enquiries, and comply with legal obligations.

Where applicable law requires a particular legal basis, notice, consent, or other safeguard, we will address that requirement separately.

Where the Company processes personal data on behalf of a customer, the parties may enter into a data processing agreement specifying their responsibilities.

Please consult our Privacy Policy for information about applicable rights, retention, recipients, security, and international transfers.

22. Google Ads, Google Analytics, and Google Technologies

Depending on the technologies enabled, we may use Google Ads, Google Analytics, Google Tag Manager, conversion tracking, remarketing, and related services.

These technologies may help us measure website traffic, understand interactions, evaluate advertising performance, measure conversions, and improve our marketing.

Information processed may include page visits, referral information, device and browser details, identifiers, and interactions with website content.

Where required by law, non-essential analytics and advertising technologies will be activated only after appropriate consent.

Google services are subject to the applicable Google policies and contractual arrangements.

Further information is available in the Google Privacy Policy and Google advertising technologies policy.

23. Meta Ads, Facebook, Instagram, and Other Advertising

Where enabled, we may use Meta Ads, Facebook and Instagram advertising, Meta Pixel, conversion measurement, remarketing, and other advertising technologies.

These services may help us evaluate campaign performance, measure conversions, understand website interactions, and reach relevant audiences.

We may also use other analytics, advertising, session analysis, or marketing automation providers where appropriate.

The actual providers and technologies used will be described in our Privacy Policy and Cookie Policy, as applicable.

Where consent is required, non-essential tracking will not be activated before the relevant consent is obtained.

Third-party providers may independently process information in accordance with their own privacy notices and applicable legal arrangements.

24. Cookies and Tracking Technologies

Our website may use cookies, pixels, tags, local storage, analytics scripts, and similar technologies.

These technologies may support essential website functionality, security, preferences, analytics, conversion measurement, and advertising.

Where required by applicable law, non-essential analytics and advertising technologies will remain disabled until consent is obtained.

Visitors should be able to accept or reject non-essential cookies and manage or withdraw their choices through the available cookie preference interface.

Our separate Cookie Policy will provide additional information about the technologies actually used, their purposes, and available controls.

25. International Users and Data Protection

Our company is based in India and may serve individuals and businesses internationally.

Where applicable, our handling of personal data will comply with relevant data protection laws, which may include the EU General Data Protection Regulation (GDPR), applicable electronic communications and cookie requirements, and Indian data protection legislation.

Where GDPR applies, individuals may have rights including access, rectification, erasure, restriction, portability, objection, and withdrawal of consent, subject to applicable conditions and exceptions.

International transfers of personal data will be handled using appropriate legal mechanisms and safeguards where required.

These Terms do not replace a Privacy Policy, Cookie Policy, or data processing agreement where one is required.

26. Third-Party Services and Integrations

Our website, projects, and systems may rely on third-party services, including hosting providers, cloud platforms, payment gateways, advertising networks, messaging services, APIs, software licences, app stores, and analytics tools.

Third-party services may be subject to separate terms, charges, licences, privacy policies, and availability requirements.

We do not control all independent actions or processing undertaken by third-party providers. Responsibility will be determined by applicable law and any relevant written agreement.

27. Website Availability and Technical Issues

We take reasonable measures to maintain our website and project management systems but cannot guarantee uninterrupted or error-free operation.

Maintenance, security incidents, network failures, third-party outages, or other technical problems may affect availability.

Users should report material issues promptly. System availability does not alter the agreed commercial terms of a project unless expressly provided in the relevant agreement.

28. Intellectual Property in Website Content

Unless otherwise stated, the website’s original content, branding, graphics, layouts, and other materials owned by Amrita Infovision are protected by applicable intellectual property laws.

You may view and use the website for legitimate informational and business purposes. You must not reproduce, distribute, modify, or commercially exploit protected content without permission.

Third-party names, trademarks, and logos remain the property of their respective owners.

29. Portfolio, Reviews, and Testimonials

Our website may display project descriptions, case studies, testimonials, reviews, client references, and examples of completed work.

These materials demonstrate our experience and do not guarantee identical outcomes for future engagements.

Client names, logos, and identifiable materials will be used subject to applicable permissions, agreements, and legal requirements.

30. Disclaimer of Warranties and Business Results

Website content is provided for general informational purposes.

We do not guarantee particular search engine rankings, advertising results, sales, revenue, leads, app downloads, or other commercial outcomes unless expressly agreed in writing.

Warranties and service commitments for paid projects will be governed by the applicable agreement and mandatory law.

Nothing in these Terms excludes a warranty or right that cannot legally be excluded.

31. Limitation of Liability

To the extent permitted by applicable law, the Company will not be liable for indirect or consequential losses arising from website use or reliance on general website information.

Liability relating to paid services will be determined under the applicable agreement and applicable law.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, or any liability that cannot legally be excluded or limited. Mandatory consumer protections and other non-waivable rights remain unaffected.

32. Indemnification

To the extent permitted by law, users may be responsible for losses and reasonable costs directly arising from unlawful website use, infringement of third-party rights, or material breach of these Terms.

This provision does not transfer liability for our own negligence, unlawful conduct, wilful misconduct, or any liability that cannot legally be transferred.

Additional indemnification obligations must be expressly established in the relevant written agreement.

33. Suspension and Termination

We may restrict, suspend, or terminate access where reasonably necessary to address security risks, unlawful conduct, material violations, unauthorised access, or legal requirements.

Authorised workspace administrators may modify permissions or remove invited users according to their authority and applicable agreements.

Account termination does not automatically terminate an existing project agreement or remove outstanding payment obligations.

Data retention, account closure, and deletion will be handled according to applicable agreements, privacy disclosures, operational requirements, and law.

34. Force Majeure

To the extent permitted by law, neither party will be responsible for delays caused by events beyond its reasonable control, including natural disasters, war, civil unrest, government restrictions, widespread network failures, or major third-party service outages.

The affected party should take reasonable steps to mitigate the impact and resume performance when practicable.

35. Changes to These Terms

We may update these Terms to reflect changes in our services, systems, business practices, or legal requirements.

The updated version will be published with a revised date.

Where required by law or contract, we will provide appropriate notice or obtain renewed acceptance before material changes take effect.

36. Governing Law and Disputes

These Terms are governed by the laws of India, subject to mandatory laws and protections that apply in other jurisdictions.

Disputes will be addressed under applicable law and any valid dispute-resolution agreement.

Subject to mandatory jurisdictional requirements and consumer protections, the competent courts in the appropriate jurisdiction in India will have jurisdiction.

Nothing in this section removes rights or remedies that cannot lawfully be restricted.

37. Severability and Waiver

If any provision is held invalid or unenforceable, the remaining provisions will continue to apply to the extent legally permissible.

Failure or delay in exercising a right does not automatically waive that right.

38. Relationship with Other Agreements

These Terms govern general website and platform use. They do not replace an accepted proposal, quotation, statement of work, service agreement, employment agreement, contractor agreement, non-disclosure agreement, or data processing agreement.

Where a valid, specific agreement conflicts with these Terms concerning a particular engagement, the specific agreement will govern that matter to the extent of the conflict, subject to applicable law.
